General Business

OP serves as general outside counsel to a variety of enterprises (including not-for-profit businesses and professional practices).  In addition to providing advice on strategic and operational matters to its clients’ senior management, the firm negotiates, drafts and closes myriad business agreements and instruments including shareholder and operating agreements; employment, termination and severance agreements; distribution agreements; exclusivity, confidentiality and non-disclosure agreements; license agreements; UCC and other security agreements; certificates of designation; investor rights and co-sale agreements; joint venture agreements; loan agreements and promissory notes; and third-party legal opinions.
