Since its inception, O’Hare Parnagian LLP has represented buyers and sellers of private businesses in numerous industries, including apparel, handbags and footwear; commercial boilers; commercial heating; ventilation and air conditioning equipment; automobile dealerships; graphic design; ground transportation; food service; floral, landscaping, and outdoor construction; and fitness centers. Finance 

OP has substantial experience in representing clients in capital-raising transactions through private placements of equity stakes and through debt financings with institutional banks and private lenders. Our team assistsclients in evaluating financing options, structuring terms, negotiating agreements, and documenting transactions to support growth and long-term stability.  

General Business 

OP serves as general outside counsel to a variety of enterprises, including not-for-profit businesses and professional practices. We provide strategic and operational advice to senior management and help clients navigate complex business decisions. In addition, the firm negotiates, drafts and closes a wide array of business business agreements and instruments, including shareholder and operating agreements; employment, termination and severance agreements; distribution agreements; exclusivity, confidentiality and non-disclosure agreements; license agreements; UCC and other security agreements; certificates of designation; investor rights and co-sale agreements; joint venture agreements; loan agreements and promissory notes; and third-party legal opinions. Our focus is on efficiency and protecting our clients’ business interests in every agreement. 

Real Estate 

 Acquisitions and Dispositions 

OP regularly advises clients on real estate acquisitions and dispositions in New York, including office space, industrial space, warehouses, street-level retail, and multi-family income properties. The firm’s clients include overseas and businesses and individuals – including from Europe, the Middle east, and the Gulf States – seeking New York commercial and residential income property for their investment portfolios.  

Leasing and Subleasing 

The firm regularly represents landlords and tenants in negotiating and documents New York commercial leases and subleases, including for office, retail, professional, and warehouse spaces. OP also routinely negotiates documents related to license agreements, guarantees, early termination, and option agreements. Our approach emphasizes clear, enforceable terms that protect client interests while supporting operational needs.  

Financing 

OP has broad experience representing clients in construction and permanent financing for commercial real estate in New York, including financing for the purchase of retail and office condominium units in Manhattan, including SBA 504 financings. We guide clients through each step of the financing process, from evaluating lending options to structuring and documenting complex transactions.  

Homeowner Associations 

The firm selectively represents New York City cooperative apartment corporations and condominium associations as outside general counsel. OP provides advice regarding mortgage financing; employment matters; property, casualty, liability, and D&O insurance; contracts and related documents for capital improvement projects; by-laws; common charge liens; litigation matters in connection with Local 11 compliance; and federal, state, and city anti-discrimination laws. Our guidance helps associations manage regulatory and operational challenges effectively.  

Residential 

For affluent and high-net-worth clients, the firm manages all aspects of residential real estate transactions, including purchases, sales, and leasing of townhouses, condominiums, and cooperative apartments. The residential practice is distinguished by attention to detail, proactive risk management, and a client-focused approach to ensure seamless, well-executed transactions.
